Integration due diligence and post-deal integration support for a UK dental chain (2022)
Our client was a leading chain of UK Dental clinics intending to acquire one of their leading competitors
- We worked pre-deal to assess and cost the central support structure our corporate client would require following the acquisition of a competitor. Our client was ultimately the successful bidder & we later supported them on integration planning
- Pre-deal, we provided a diligence opinion on the central structures and cost including IT architecture, likely integration complexity and one-off cost to implement for our PE-backed client
- Post-deal, we led the IMO in developing Integration Fundamentals & roadmap. We facilitated workshops to identify interdependencies & provide technical expertise as they designed their interim and future operating model.
- We supported workstreams with detailed workstream planning, delivered focus groups and leadership interviews to support culture, change and comms aspects of the programme
- We defined the level of integration for Day-1 and managed the successful completion of critical actions, in addition to further operating model development supported by our functional expertise & benchmarking. We provided detailed outputs to define the future operating model and culture

Vendor due diligence for a buy and build platform dental chain (2021)
A dental chain that had grown through the consolidation of individual practices sought independent verification that their integration approach delivered full value from each transaction and would underpin continued inorganic growth assumed in the business plan, in order to secure financing. This included a review of both central costs and IT landscape
We assessed the integration approach of the chain against best practice
We reviewed the central structure and functional teams, benchmarking their central costs against peers (both non-headcount and headcount) and provided a view on forecast investment levels
We validated the delivery of synergies from past acquisitions We performed a deep dive on IT, leveraging experience with similar businesses to provide a view on the in-house capability of IT team
We delivered a Vendor Due Diligence report offering an assessment of the adequacy of current central costs, whether incremental cost assumed was appropriate to support expected growth, and the extent to which the IT landscape could grow with the business
